Terms of Service

Sicc Media

Effective Date: August 24, 2026 Last Updated: August 24, 2026

1. Agreement to These Terms

Welcome to siccmedia.com (the “Site”). The Site is owned and operated by Sicc Media (“Sicc Media,” “we,” “us,” or “our”).

By accessing the Site, contacting us through it, subscribing to our communications, or engaging us for services, you agree to these Terms of Service (“Terms”). If you do not agree, please do not use the Site or our services.

If you are entering into these Terms on behalf of a company or other entity, you represent that you have the authority to bind that entity, and “you” refers to that entity.

2. Who We Are and What We Do

Sicc Media is a creative studio providing services that may include:

  • Brand identity and visual identity design
  • Graphic design and marketing design
  • Advertising and campaign development
  • Website design, landing pages, and web graphics
  • E-commerce design and storefront setup
  • Social media management and social content creation
  • Content creation, including photography, video, and copy
  • Brand-in-a-Box packages and other bundled creative offerings
  • Creative direction, art direction, and creative consulting

We serve clients throughout the United States. Specific deliverables, timelines, and fees for any engagement are defined in a separate proposal, statement of work, service agreement, or invoice (“Service Agreement”).

3. The Site Is Informational

Content on the Site, including portfolio work, service descriptions, pricing indications, blog posts, and case studies, is provided for general informational purposes. It does not constitute an offer, a guarantee of results, or professional advice. We may change, update, or remove Site content at any time without notice.

Nothing on the Site creates a client relationship. A client relationship begins only when both parties execute a Service Agreement or when you pay a deposit or invoice for services.

4. Client Services

4.1 Service Agreements Control

Where a Service Agreement conflicts with these Terms, the Service Agreement controls for that engagement. These Terms govern everything else, including your use of the Site.

4.2 Project Scope

Each engagement covers only the deliverables, revision rounds, and timeline stated in the Service Agreement. Work requested outside that scope is billed separately at our then-current rates and may extend the timeline.

4.3 Revisions

Unless the Service Agreement says otherwise, each project includes two rounds of revisions on the agreed concept direction. Revisions are refinements to work already presented. A request to start over with a new direction is new work, not a revision.

4.4 Client Responsibilities

You agree to provide, in a timely manner, all content, brand assets, logins, approvals, and feedback we need to do the work. Delays in providing these will extend project timelines and may result in rescheduling fees. We are not responsible for missed deadlines caused by delayed client input.

4.5 Client Materials and Warranties

You represent and warrant that any logos, photography, copy, fonts, trademarks, music, or other materials you provide to us are owned by you or properly licensed for the intended use, and that our use of them will not infringe any third party rights. You agree to indemnify and hold Sicc Media harmless from any claim arising out of materials you supplied.

4.6 Approval

Once you approve a deliverable in writing, including by email or project management comment, that deliverable is considered final. Errors discovered after approval, including typos, spelling, and incorrect information supplied by you, are corrected as new billable work.

5. Payment Terms

5.1 Deposits

Most projects require a nonrefundable deposit before work begins. The deposit reserves your place in our production schedule and is credited toward the total project fee.

5.2 Invoices

Unless stated otherwise, invoices are due upon receipt. Balances unpaid after 15 days may accrue a late fee of 1.5 percent per month or the maximum permitted by applicable law, whichever is less.

5.3 Retainers and Subscriptions

Ongoing services, including social media management and Brand-in-a-Box subscription tiers, are billed in advance on a recurring basis. Recurring engagements continue until cancelled in writing with the notice period stated in the Service Agreement. Unused hours or deliverables in a billing period do not roll over unless the Service Agreement says they do.

5.4 Suspension for Nonpayment

We may pause work, withhold deliverables, and suspend access to hosted or managed assets on any account more than 30 days past due, and we may do so without liability for resulting delays.

5.5 Third Party Costs

Stock imagery, fonts, plugins, hosting, domains, printing, advertising spend, and similar third party costs are your responsibility and are billed separately unless expressly included in the Service Agreement.

5.6 Refunds

Because creative work is custom and time-based, fees for work already performed are nonrefundable. If you cancel a project mid-stream, you remain responsible for all work completed through the cancellation date.

6. Intellectual Property

6.1 Our Site and Portfolio

All content on the Site, including designs, graphics, photography, text, layout, code, and the Sicc Media name and marks, is owned by Sicc Media or its licensors and is protected by copyright, trademark, and other laws. You may not copy, reproduce, republish, or create derivative works from Site content without our written permission.

6.2 Transfer of Deliverables

Upon full payment of all amounts due for a project, Sicc Media assigns to you the ownership rights in the final approved deliverables created specifically for you under that project, subject to the exceptions below. Before full payment, all work product remains the property of Sicc Media and may not be used.

6.3 What Does Not Transfer

The following are not transferred and remain the property of Sicc Media or the applicable third party:

  • Preliminary concepts, unused designs, working files, and source files, unless expressly purchased
  • Our proprietary templates, systems, processes, frameworks, and methodologies
  • Third party assets such as stock images, fonts, plugins, and software, which remain subject to their own licenses
  • Any deliverable for which payment has not been received in full

6.4 Portfolio and Promotional Rights

You grant Sicc Media a perpetual, nonexclusive right to display work created for you in our portfolio, case studies, social media, award submissions, and marketing materials, and to identify you as a client. If a project is confidential, tell us in writing before work begins and we will honor a reasonable confidentiality request.

7. Acceptable Use of the Site

You agree not to:

  • Use the Site for any unlawful purpose or in violation of these Terms
  • Scrape, data mine, or use automated tools to extract Site content
  • Attempt to gain unauthorized access to the Site, our systems, or any account
  • Upload or transmit viruses, malware, or other harmful code
  • Impersonate Sicc Media or misrepresent your affiliation with us
  • Interfere with or disrupt the Site or the servers and networks that support it

We may suspend or terminate your access to the Site at any time for any reason, including suspected violation of these Terms.

The Site may link to or integrate with third party websites and services, including social media platforms, payment processors, scheduling tools, and analytics providers. We do not control those services and are not responsible for their content, practices, or policies. Your use of a third party service is governed by that party’s terms.

9. No Guarantee of Results

Creative, marketing, and social media outcomes depend on many factors outside our control, including market conditions, platform algorithms, competition, budget, and your own execution. We do not guarantee any specific level of traffic, engagement, followers, leads, rankings, conversions, sales, or revenue. Any figures shown in portfolio work or case studies describe past results for a particular client and are not a promise of similar results for you.

10. Disclaimer of Warranties

THE SITE AND ALL SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NONINFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR FREE, OR SECURE, OR THAT ANY DEFECT WILL BE CORRECTED.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SICC MEDIA AND ITS OWNERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SITE OR OUR SERVICES, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID TO SICC MEDIA IN THE THREE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS, WHICHEVER IS GREATER.

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

12. Indemnification

You agree to defend, indemnify, and hold harmless Sicc Media and its owners, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorney fees, arising out of or related to: your use of the Site, your breach of these Terms, materials you provided to us, your use of deliverables after they are transferred to you, or your violation of any law or third party right.

13. Term and Termination

Either party may terminate an engagement as provided in the Service Agreement. Upon termination, you remain responsible for payment of all work completed through the termination date, and all rights in unpaid work remain with Sicc Media.

Sections covering intellectual property, payment obligations, disclaimers, limitation of liability, indemnification, and dispute resolution survive termination.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict of laws principles. Services are offered to clients throughout the United States, and clients located outside Massachusetts agree that Massachusetts law governs regardless of where they are located.

14.1 Informal Resolution First

Before filing any claim, you agree to contact us and attempt to resolve the dispute informally for at least 30 days.

14.2 Venue

If informal resolution fails, any action arising out of or related to these Terms will be brought exclusively in the state or federal courts located in Massachusetts, and both parties consent to personal jurisdiction and venue there.

14.3 No Class Actions

To the extent permitted by law, disputes must be brought individually. You agree not to bring or participate in a class, collective, or representative action against Sicc Media.

15. Changes to These Terms

We may update these Terms at any time. The Effective Date at the top reflects the most recent version. Material changes will be posted on this page. Continued use of the Site or our services after changes are posted constitutes acceptance of the revised Terms. For active engagements, the version of these Terms in effect at the time the Service Agreement was signed governs that engagement unless both parties agree otherwise in writing.

16. General Provisions

Severability. If any provision of these Terms is found unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions stay in full effect.

No Waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.

Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Entire Agreement. These Terms, together with any applicable Service Agreement and our Privacy Policy, constitute the entire agreement between you and Sicc Media regarding the Site and our services.

Independent Contractor. Sicc Media performs services as an independent contractor. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.

Force Majeure. Neither party is liable for delays or failures caused by events beyond reasonable control, including natural disasters, illness, power or internet outages, platform failures, labor disputes, or government action.
